Our history and trajectory

With a trajectory started in 1980, Constellation consolidated itself as a reference in drilling solutions in the energy industry. We operate with technical excellence, ethics and transparency, transforming challenges into progress and contributing to the sustainable development of the communities where we operate.

Governance, Ethics, and Compliance:
guidelines applied at Constellation

Constellation bases its relationships on principles of transparency, ethics, integrity and compliance with the laws of the countries where it operates. We follow the highest international governance standards, which are essential for the conduct of our business.

We believe that maintaining ethical standards at all levels is a collective responsibility, and that each employee must act with honesty and commitment in all their activities.

1. Ethics and Compliance Policies

Constellation has developed and implemented its policies, procedures and actions in order to ensure compliance with ethical and compliance duties, which have as fundamental pillars the guidelines established in the Code of Ethics and Conduct and the Anti-Corruption Policy.

Code of Ethics and Conduct

Consists of a behavior guide intended for all Constellation employees aiming at the establishment of ethical relationships, the reduction of conflicts and respect for all laws and regulations applicable to the Company’s business.

Anti-Corruption Policy

Establishes guidelines for interactions with public officials and procedures to prevent acts of corruption and fraud in compliance with the Foreign Corrupt Practices Act (FCPA) of the United States, UK Bribery Act of the United Kingdom, Brazilian Anti-Corruption Law (Law No. 12.846/13 and current regulation) and other anti-corruption laws applicable to its business.

Gifts, Presents, and Entertainment Policy

Its purpose is to establish the guidelines for the delivery, offer, promise and receipt of Gifts, Presents, Entertainment, Travel and other hospitalities and applies to all employees and third parties with whom the company relates.

The Compliance Department is responsible for Constellation’s Compliance Program. It is a department exclusively dedicated to ethics and integrity issues, with independent operation.

Constellation believes that each employee is responsible for Ethics and Compliance in their activities. Thus, the Compliance Department, besides being responsible for the Compliance Program, also acts as a “facilitator”, promoting the dissemination of Compliance throughout the Company, through periodic incentive actions.

Constellation is committed to disseminating the correct understanding by all its employees regarding its Compliance Program and applicable legislation. Thus, the Company developed the Compliance Training Program, which involves the adoption of teaching practices, awareness-raising or case discussions, always according to the target audience, involving:

In-person meetings with business areas and selected audiences, aiming for discussion, awareness-raising, and teaching on specific topics. Through these in-person encounters, it is possible to achieve a deeper exploration of specific issues that affect the selected group, thus granting greater effectiveness in the dissemination of knowledge regarding the rules and standards of conduct established by Constellation.

Online training involving teaching and updating through didactic material, with the application of tests to measure the correct understanding on the part of the employee.

Constellation believes that communication is one of the most important tools of the Compliance Program, insofar as it spreads the culture of Ethics and Compliance throughout the Company, at all levels of operation. In this way, Constellation developed a Communication Plan focused exclusively on Ethics and Compliance topics. Through specific and dynamic actions, the Company seeks to keep all employees updated regarding internal policies, as well as the latest news and updates regarding Ethics and Compliance, through the use of online platforms, digital media, films, and animations.

The Ethics and Conduct Channel is a channel available to employees, suppliers, service providers, regulatory bodies, and to the general public, intended for the receipt of complaints or reports regarding eventual non-compliance with Company policies, legislation in general, or any attitude in disagreement with the ethical and compliance principles adopted by the Company. The receipt and processing of any report made in the Ethics and Conduct Channel is performed by a specialized and independent company. The analysis of all reported cases is conducted by the Compliance Department, following specific internal policies on the matter.

The Ethics and Conduct Channel has as its main pillars:

  • Guaranteed anonymity
  • Prohibition of retaliation against the whistleblower
  • Independence of the instance responsible for analysis of the report
  • Impartiality in analysis of the report

Constellation is aware of the importance of protecting your privacy and your personal data that are under the company’s control. Committed to ethics and compliance, Constellation adopts internal procedures that establish well-defined guidelines to guide the processes of donations and sponsorships. Such procedures establish the non-donation to political parties, candidates or electoral campaigns and the need for rigorous integrity analysis – conducted by the Compliance department – as one of the necessary steps to carry out a donation or sponsorship. Legal and financial assessments are also performed and, in specific cases, such as the donation of goods or assets, approval from the Executive Board and/or the Board of Directors is mandatory.

Constellation’s Compliance Department is independent and has the following objectives:
  • Advising other areas of Constellation regarding ethics and compliance issues;
  • Development, implementation and monitoring of training and communication initiatives related to ethics and compliance, for employees and Third Parties;
  • Conducting investigations regarding allegations reported through Constellation’s Ethics and Conduct Channel and through other means, performing the assessment of such allegations and the reporting of their results;
  • Conducting integrity analysis (Integrity Due Diligence) of suppliers, customers, business partners and employees, according to guidelines established by Constellation for the performance of its activities;
  • Review of Contracts, Purchase Orders and other legal documents signed with suppliers, customers and other partners regarding the wording and clauses related to ethics and compliance issues;
  • Authorization of offering and receiving gifts, meals, travel and entertainment in the relationship with suppliers, customers and business partners;
  • Participation in employee recognition initiatives, regarding information related to ethics and compliance;
  • Review of donations to third parties, according to a specific policy related to the theme;
  • Interaction with the departments of Risks, Internal Audit, Internal Controls and Personal Data Privacy, in order to discuss improvements and, together, propose actions regarding the issues raised by the two Departments;
  • Assessment and monitoring of risks related to ethics and compliance, as well as the level of exposure to such risks;
  • Reporting the results of its activities and issues regarding the implementation of the Compliance Program to Constellation’s Risk and Audit Committee – an advisory committee to the Company’s Board of Directors.

To achieve the objectives mentioned above, the Compliance Department is led by the Head of Compliance, who is linked to the Audit, Risk and Compliance Superintendence. The Superintendence, in turn, has two reporting lines, namely: (i) a functional reporting line to the Company’s Board of Directors through the Risk and Audit Committee, which is an advisory committee to the Board; and (ii) a matrix reporting line to the Company’s CEO.

The Head of Compliance relies on the support of a team composed of 05 (five) professionals with experience and knowledge regarding Constellation’s operations, organizational culture and guidelines to support the Department’s activities.

What is Constellation's Compliance Program?

Constellation’s Compliance Program consists of a set of ethics and compliance policies and procedures, including the Code of Ethics and Conduct, the Anti-Corruption Policy, the Gifts, Presents and Entertainment Policy, among other procedures and forms, which are in total alignment with the highest international market standards regarding ethics and compliance.

The instance responsible for the Compliance Program is the Compliance Department, an independent area dedicated exclusively to ethics and compliance issues.

The Code of Ethics and Conduct and the Anti-Corruption Policy apply to all members of the Board of Directors, Executive Board, executives, employees and everyone who works directly or indirectly for Constellation. The violation of any rule of the Code of Ethics and Conduct or the Anti-Corruption Policy will result in disciplinary measures provided for in the Company’s internal rules, which include dismissal or termination of the legal relationship with the company.

The Code of Ethics and Conduct and the Anti-Corruption Policy are available for download to the general public in the “Ethics and Compliance Policies” section, and also on the Ethics and Conduct Channel page, and, for Constellation employees, on the company’s Intranet.

The Ethics and Conduct Channel is a channel made available to Constellation employees, suppliers, service providers, regulatory bodies, society and third parties in general to report any violation of the Code of Ethics and Conduct, the Anti-Corruption Policy and applicable legislation, regarding Constellation’s business.

Yes, any report can be made anonymously, if so desired by the reporter through the available channels. Reports made in good faith and with responsibility will not subject the whistleblower to any type of retaliation. Reports made in bad faith, with the intentional provision of false information or through fraud are not permitted and may result in sanctions.

The progress of the report made through the Ethics and Conduct Channel can be followed by the whistleblower themselves, even anonymously. To do so, access the Channel link and enter the protocol generated when the report was made in the “FOLLOW UP REPORT” button or via telephone 0800 721-0765, from Monday to Sunday, 24 hours, simply by providing the protocol number. Furthermore, it is through this follow-up by the whistleblower that new information and evidence may be requested, speeding up the investigation of the report.

The selection of members of the Executive Board requires an integrity analysis, including the verification of possible conflicts of interest, conducted by the Compliance Department.

As disclosed in the Sustainability Report, the remuneration structure, including the definition of individual remuneration for members of the Executive Board, is approved by the Board of Directors based on recommendations from the Nomination and Remuneration Committee. This committee holds quarterly meetings to monitor market practices, evaluate the effectiveness of adopted models and supervise the implementation of key people management strategies and policies. Within the corporate goals considered in the variable remuneration of Senior Management, there are criteria from a sustainability perspective, such as the Energy Efficiency Project goals, Process Safety Index Rate (PSIR) and Total Recordable Incident Rate (TRIR).
